1About Migra Aflux

Migra Aflux Limited operates a digital PropTech and home-commerce marketplace that facilitates connections between users and independent third parties, including landlords, property owners, estate managers, agents, vendors, and other service providers.

• Discover and inquire about apartments and other properties.
• Connect with landlords, estate managers, agents, and property-related service providers.
• Discover and purchase or inquire about furniture, appliances, electronics, gadgets, household goods, and other products.
• Obtain information and assistance relating to property listings and marketplace products.
• Access additional digital services and features introduced by Migra Aflux from time to time.

2Eligibility and Acceptance

By using the Platform, you represent that you have the legal capacity to enter into these Terms; the information you provide is accurate and not misleading; you will use the Platform only for lawful purposes; and you will comply with these Terms and all applicable laws and regulations.

3Use of the Platform

At present, users may browse the Platform without creating an account. Depending on the development of the Platform, Migra Aflux may introduce account registration, user profiles, digital payments, booking systems, delivery services, roommate-matching features, property-management features, or other functionality. Where additional features are introduced, Migra Aflux may establish additional terms, policies, or requirements governing their use.

4Property Listings

Migra Aflux may display property listings containing information such as property location, rental price, descriptions, images and videos, available facilities and amenities, availability information, and contact or inquiry information. Property listings are generally provided by or obtained from property owners, landlords, estate managers, agents, or other authorized third parties.

• Property availability may change at any time.
• Prices and rental terms may change without prior notice.
• Images may not always represent the property’s current condition.
• Descriptions and information may be supplied by third parties.
• A listing may become unavailable before a user completes a transaction.
• Display of a property does not constitute a guarantee of ownership, title, legality, condition, availability, or suitability.
• Final rental terms are subject to confirmation by the relevant property owner, landlord, estate manager, or authorized representative.

5Property Verification and Due Diligence

Migra Aflux may implement verification procedures intended to reduce fraudulent, misleading, or inaccurate listings. However, verification does not constitute an absolute guarantee of the identity, ownership, title, authority, condition, or legal status of a property or listing. Users are encouraged to conduct appropriate due diligence before making any payment or entering into a rental or property-related agreement. Where reasonably possible, users should inspect a property physically or through an appropriate representative before making a significant financial commitment.

6Marketplace Products

Migra Aflux may facilitate access to products including furniture, appliances, electronics, gadgets, household goods, home accessories, and other products made available through the Platform. Products may be supplied by independent vendors or other third-party providers. Unless expressly stated otherwise, Migra Aflux does not manufacture the products listed by third-party vendors.

Vendors are responsible for ensuring that their products are accurately described and comply with applicable laws, regulations, and platform requirements. Migra Aflux may remove, suspend, or restrict any listing or vendor where we reasonably believe that the listing or vendor violates these Terms, applicable law, or our platform standards.

7User Responsibilities

When using Migra Aflux, you agree to:

• Provide accurate and complete information.
• Review important details before making a payment or commitment.
• Verify property or product availability before payment.
• Conduct appropriate due diligence.
• Use official Migra Aflux communication and payment instructions.
• Keep any information received from Migra Aflux confidential where appropriate.
• Treat Migra Aflux personnel, landlords, agents, vendors, and other users respectfully.
• Comply with applicable laws and regulations.
• Notify Migra Aflux promptly if you suspect fraud, impersonation, unauthorized payment instructions, or other suspicious activity.

8Payments

Where Migra Aflux facilitates or coordinates a payment, users will receive payment instructions through an official Migra Aflux communication channel. Before making any payment, users should confirm the identity of the intended recipient, the property or product concerned, availability, total amount payable, applicable fees or charges, relevant transaction terms, and the official payment instructions provided by Migra Aflux.

9Rental Transactions

Where a user wishes to rent a property listed through Migra Aflux: (1) the user may submit an inquiry; (2) Migra Aflux may assist with communication, availability confirmation, inspection coordination, or other relevant processes; (3) applicable rental terms, fees, deposits, and conditions will be communicated or confirmed before completion; and (4) the final tenancy or rental agreement is generally entered into between the tenant and the relevant property owner, landlord, estate manager, or authorized agent.

Unless expressly stated otherwise, Migra Aflux is not a party to the tenancy agreement and does not assume the obligations of the landlord, tenant, estate manager, or agent.

10Product Purchases

Before completing a product transaction, customers should confirm product description and specifications, price, availability, delivery arrangements, applicable charges, expected delivery timeframe, and applicable return, exchange, warranty, or refund terms. Where a product is supplied by an independent vendor, the vendor may be responsible for fulfilling the order and providing applicable warranties, returns, exchanges, or other remedies.

11Third-Party Providers

The Platform may contain listings, products, services, information, or links provided by independent third parties, including landlords, property owners, estate managers, agents, vendors, manufacturers, delivery providers, payment providers, and other service providers. Migra Aflux does not automatically endorse or guarantee every third party appearing on the Platform. Users acknowledge that third-party transactions may be subject to separate agreements between the user and the relevant third party.

12Official Communication Channels

Migra Aflux may communicate with users through official channels, including its website, designated email addresses, WhatsApp numbers, and other communication channels published or confirmed by Migra Aflux. Users should rely only on official contact information published or confirmed by Migra Aflux. Migra Aflux will not be responsible for losses arising from communications with individuals impersonating Migra Aflux or from transactions conducted through unauthorized channels.

13Prohibited Activities

Users must not use the Platform to:

• Commit fraud or participate in fraudulent activity.
• Provide false, misleading, or deceptive information.
• Impersonate Migra Aflux, its employees, representatives, landlords, agents, vendors, or other users.
• Submit false payment confirmations.
• Promote fraudulent or illegal property listings or products.
• Use the Platform for unlawful purposes.
• Upload or transmit malicious software.
• Attempt to gain unauthorized access to the Platform or its systems.
• Scrape, copy, reproduce, distribute, or commercially exploit Platform content without authorization.
• Interfere with the security, functionality, or operation of the Platform.
• Harass, threaten, abuse, or defraud other users.
• Circumvent security or verification procedures.
• Engage in any activity that may damage the reputation, operation, or integrity of Migra Aflux.

14Intellectual Property

Unless otherwise stated, the Migra Aflux name, logo, branding, designs, website interface, text, graphics, images, software, content, and other materials provided by Migra Aflux are owned by or licensed to Migra Aflux Limited. You may access and use such materials solely for your personal or legitimate use of the Platform.

You must not reproduce, modify, distribute, publish, sell, license, commercially exploit, or create derivative works from Migra Aflux intellectual property without prior written authorization. Third-party trademarks, logos, images, and content remain the property of their respective owners.

15Platform Availability

Migra Aflux aims to maintain a reliable and accessible Platform but does not guarantee that the Platform will always be available without interruption, free from errors, free from technical defects, completely secure, or available at all times. Migra Aflux may temporarily suspend, modify, restrict, or discontinue parts of the Platform for maintenance, security, technical, operational, commercial, or other legitimate reasons.

16Disclaimers

To the extent permitted by applicable law, Migra Aflux does not guarantee the accuracy or completeness of all third-party information; the availability of any particular property or product; the quality, condition, authenticity, legality, or suitability of third-party products or properties; the conduct or performance of landlords, tenants, agents, estate managers, vendors, delivery providers, or other third parties; that a transaction between a user and a third party will be completed successfully; or that the Platform will always operate without interruption or error.

Users should exercise reasonable care and conduct appropriate due diligence before entering into significant financial or contractual commitments.

17Limitation of Liability

To the maximum extent permitted by applicable law, Migra Aflux shall not be liable for losses arising primarily from inaccurate information supplied by third parties; changes in property or product availability; third-party conduct or non-performance; disputes between users and landlords, agents, estate managers, vendors, or other third parties; unauthorized payments made outside official Migra Aflux channels; delays caused by circumstances outside Migra Aflux’s reasonable control; temporary interruption of the Platform; or indirect, incidental, special, or consequential losses arising from use of the Platform.

Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited under applicable Nigerian law.

18Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Migra Aflux Limited, its directors, officers, employees, representatives, and affiliates from claims, losses, liabilities, damages, costs, and reasonable expenses arising from your violation of these Terms; your unlawful or fraudulent use of the Platform; information you knowingly provide that is false or misleading; your violation of the rights of another person; or your transactions or disputes with third parties where your actions caused or contributed to the relevant claim.

19Privacy and Personal Information

Migra Aflux may collect and process personal information in connection with your use of the Platform. Our collection, use, storage, and processing of personal information are governed by our Privacy Policy, which forms part of the framework governing your use of the Platform.

By using the Platform, you acknowledge that you may be required to provide certain information to enable Migra Aflux to respond to inquiries, facilitate transactions, provide services, prevent fraud, or comply with applicable legal requirements.

20Dispute Resolution

If you have a complaint or dispute concerning the Platform or a transaction facilitated by Migra Aflux, you should first contact Migra Aflux through an official communication channel and provide relevant information and supporting documentation. Migra Aflux may review the matter and, where appropriate, assist in facilitating communication or resolution.

Where a dispute concerns a third-party property owner, landlord, estate manager, agent, vendor, or other independent provider, the relevant parties may be required to resolve the matter directly in accordance with their agreement. Nothing in this section prevents a party from exercising any legal rights available under applicable law.

21Changes to These Terms

Migra Aflux may modify or update these Terms from time to time to reflect changes in our services, Platform, business operations, technology, or legal requirements. Updated Terms will become effective when published on the Platform unless a different effective date is stated. Your continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

22Suspension or Termination

Migra Aflux may suspend, restrict, or terminate access to the Platform where reasonably necessary, including where a user violates these Terms, engages in fraudulent or unlawful conduct, attempts to compromise the Platform, misuses the services, provides materially false information, or creates a risk to Migra Aflux, its users, partners, or third parties. Termination or suspension does not affect rights or obligations that arose before the date of suspension or termination.

23Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Subject to any applicable dispute-resolution requirements, disputes relating to these Terms or the use of the Platform shall be subject to the jurisdiction of the appropriate courts of Nigeria.

24Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where possible. The remaining provisions shall continue in full force and effect.

25Entire Agreement

These Terms, together with any applicable policies, agreements, notices, and additional terms published by Migra Aflux, constitute the terms governing your use of the Platform. Where a specific service or transaction has separate written terms, those terms may apply in addition to or, where expressly stated, instead of the relevant provisions of these Terms.
